These Terms explain how you use TeachSmartHQ™, what you can do with the content you create, how subscriptions and cancellations work, and what we each agree to when you use the service.

These Terms work together with our Privacy Policy and Refund Policy.

Section 01

Acceptance of Terms

By accessing or using teachsmarthq.com, creating an account, purchasing a membership, saving content to your dashboard, or using any TeachSmartHQ™ generator, resource, or related feature, you agree to these Terms & Conditions (“Terms”). If you do not agree, please do not use the website or any TeachSmartHQ™ materials.

If you are using TeachSmartHQ™ on behalf of a school, district, or other organization, you represent that you have the authority to bind that organization to these Terms, and “you” refers to that organization.

These Terms work together with our Privacy Policy and Refund Policy.

Section 02

The TeachSmartHQ™ service

TeachSmartHQ™ provides AI-powered workflow tools for educators, homeschool educators, tutors, school teams, and district implementations. Depending on the plan or engagement, the service may include:

  • AI-powered generators for planning, differentiation, PLAAFP and documentation workflows, lesson-delivery support, parent-facing workflows, and related educator tasks
  • saved content storage where enabled, including drafts and uploaded files
  • prompt libraries, templates, and classroom resources
  • training, onboarding, and implementation support for pilots and district partnerships

The service is delivered digitally through our website and related applications. We may update, improve, add, pause, or remove features at any time to keep the service reliable, secure, and useful.

Section 03

Account registration & responsibility

To access most TeachSmartHQ™ features, you must create an account. When you do, you agree to:

  • provide accurate, current, and complete information
  • keep your password confidential and secure
  • use only one account per individual educator, except where Team membership expressly allows otherwise
  • notify us promptly through our contact page if you suspect unauthorized access or account misuse
  • be at least 18 years old, or otherwise have legal authority to enter into a binding agreement

You are responsible for activity that occurs under your account. We may suspend or terminate accounts that violate these Terms, share credentials improperly, or engage in fraud or abuse.

Section 04

Subscription plans, billing & auto-renewal

TeachSmartHQ™ offers a mix of one-time purchases, individual subscriptions, Team plans, and school or district agreements.

Current live pricing, plan names, annual options, and promotional eligibility are listed on:

Automatic renewal

Monthly subscriptions renew every month and annual subscriptions renew every twelve months unless canceled before the renewal date.

Cancellation

You may cancel your subscription at any time from your account dashboard or through our contact page.

When you cancel, your subscription remains active through the end of your current billing period. After that billing period ends:

  • your subscription will not renew
  • you will not be charged again unless you reactivate
  • post-cancel content handling is governed by Section 12 below

Price changes

We may adjust subscription pricing for future billing periods. If we do, we will provide notice at least 30 days before the change takes effect. If you do not agree to the new price, you may cancel before the change takes effect.

Taxes

Prices listed on our pricing pages are exclusive of applicable taxes unless stated otherwise. Taxes may be added at checkout based on your location.

Failed payments

If a payment fails, we may retry the payment method on file, notify you, and temporarily limit access until payment succeeds. Accounts with unresolved payment issues may be suspended.

Payment processing

Payments are processed by Stripe. TeachSmartHQ™ does not store your full credit-card number or CVV.

Section 05

Promotional offers

TeachSmartHQ™ may run promotional offers from time to time.

Current promotional eligibility, plan coverage, deadlines, and live pricing are listed on:

If a promotion waives an initial payment, there is nothing to refund during the no-charge period because no payment was collected. Once paid billing begins, the standard refund rules in our Refund Policy apply.

Promotional offers may be limited, time-bound, non-combinable, and subject to withdrawal in cases of fraud, abuse, or account manipulation.

Section 06

Team plan terms

Current Team tiers are:

  • Team PRO
  • Team Premiere™
  • Team Premiere™ Plus
  • Team Premiere™ Elite
  • Team Premiere™ Max

Unless otherwise stated at checkout or in a written agreement, Team plans are designed for up to 3 educator accounts on one subscription.

Current plan names, pricing, annual options, and shared-generation limits are listed on Teams Pricing.

Shared usage

Team plans use shared generation pools. TeachSmartHQ™ does not advertise unlimited Team usage on the live pricing canon.

Account ownership

The Team account owner is responsible for adding, removing, and managing team members.

Team changes

Removing or swapping a team member does not create a refund for the remaining billing period.

Sharing & collaboration

Where Team sharing features are available, sharing is limited to members of the same Team account. Sharing paid access, saved content, or protected materials outside the Team plan in violation of plan rules is not permitted.

Section 07

Educator content responsibility

TeachSmartHQ™ is designed for use in compliance with FERPA, COPPA, and applicable school or district privacy expectations. When using TeachSmartHQ™, you agree to the following.

No student PII in generator inputs

You agree not to enter real student first or last names, initials, student IDs, birth dates, home addresses, parent names, school names tied to a specific student, IEP meeting dates tied to a named student, or other information that could identify an individual K-12 student.

TeachSmartHQ™ instructs educators to use generic references such as “Student A” or “the student.” Backend safeguards may reduce risk, but those safeguards are not permission to enter student PII.

Your responsibility for saved content

If you save generated drafts or upload files to your dashboard, you are responsible for ensuring that content complies with your school, district, and legal obligations.

TeachSmartHQ™ is not liable for PII that users or organizations choose to enter or save despite those requirements.

Professional judgment

All AI-generated output is a starting draft only. You agree to review, adapt, and approve every output before using it in instruction, official documentation, parent communication, or other professional settings.

Section 08

Intellectual property

What TeachSmartHQ™ owns

The TeachSmartHQ™ platform — including the website, software, generator systems, prompts, workflows, interface design, branding, trademarks, documentation, frameworks, and original published content — is the intellectual property of TeachSmartHQ™.

You may not copy, reproduce, republish, resell, redistribute, reverse-engineer, or create derivative works from the platform or its underlying systems without written permission.

What you own

The drafts, lesson plans, worksheets, PLAAFP documents, and other classroom outputs you create for your own educator work are yours to use, edit, print, and include in professional practice, subject to these Terms.

You also retain ownership of files you upload to your dashboard. TeachSmartHQ™ stores them to provide the service and does not claim ownership of those files.

Third-party licensed assets inside outputs

TeachSmartHQ™ outputs may include clipart, illustrations, icons, fonts, or other visual assets licensed from third-party creators. While you may use the generated document as intended for classroom and professional educator use, the embedded visual assets remain the property of their original creators.

You may not extract, isolate, reuse, redistribute, or republish those individual visual assets outside the originally generated TeachSmartHQ™ document unless you have separate rights from the original creator.

Limited license you grant to TeachSmartHQ™

When you use the service, you grant TeachSmartHQ™ a limited, non-exclusive license to process, store, display, and transmit your inputs and saved content solely to provide the service to you.

TeachSmartHQ™ does not use your inputs, outputs, or saved content to train AI models or sell your data.

Section 09

Acceptable use

When using TeachSmartHQ™, you agree not to:

  • resell, sublicense, or redistribute access to the platform or its generators
  • share account credentials outside your own account or outside your permitted Team membership
  • scrape, crawl, or extract platform content without written permission
  • reverse-engineer or attempt to derive the source code, prompt systems, or AI architecture behind the service
  • extract, isolate, screenshot, trace, or harvest licensed visual assets from outputs for redistribution or resale
  • reproduce TeachSmartHQ™ outputs for commercial resale on third-party marketplaces in violation of these Terms
  • use the service to create illegal, harassing, discriminatory, defamatory, or rights-infringing content
  • use the service to harm, exploit, or improperly surveil students or others
  • attack, probe, or interfere with the security or integrity of the platform
  • use the service in a way that violates applicable law, school policy, district policy, or these Terms

We may suspend or terminate accounts that violate this section.

Section 10

Third-party services

TeachSmartHQ™ uses a limited set of third-party service providers to operate the platform, including providers for AI processing, payment processing, membership management, email delivery, storage, and hosting/infrastructure.

Those providers operate under their own terms and policies. TeachSmartHQ™ is not responsible for interruptions, outages, policy changes, or failures caused by third-party providers beyond our direct control.

Our Privacy Policy provides additional information about third-party services and data handling.

Section 11

Refunds

Refund eligibility depends on the type of purchase and the timing of the request.

Our complete refund rules are set out in the Refund Policy, including:

  • Teacher Toolkit refund timing
  • annual-plan refund windows
  • monthly cancellation rules
  • promotional-offer handling
  • school and district contract handling
  • refund request process and processing timing

Approved refunds are processed immediately via Stripe and returned to the original payment method, typically within 5–10 business days depending on the payment provider and card issuer.

Section 12

Termination

By you

You may cancel your account or subscription at any time from your account dashboard or through our contact page.

If you cancel a paid subscription, you retain access through the end of your current billing period.

By us

We may suspend or terminate your account if you violate these Terms, engage in fraud, abuse the service, fail to pay, or if required by law. Where reasonably possible, we will provide notice and an opportunity to correct the issue first.

What happens to saved content

After cancellation or termination, saved lessons, uploaded files, and dashboard content are removed from active storage within 30 days.

If you reactivate during that 30-day window, your saved content can be recovered. After that 30-day window passes, the content is permanently removed.

You are responsible for exporting or downloading any content you want to keep before the removal window expires.

Section 13

Disclaimers

TeachSmartHQ™ is provided “as is” and “as available.” To the fullest extent permitted by law, TeachSmartHQ™ disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, and error-free output.

AI-generated output is a draft. Outputs may contain errors, omissions, or content that requires professional review. You are responsible for reviewing, validating, and adapting every output before using it in classrooms, official documentation, parent communication, or any professional setting.

TeachSmartHQ™ does not provide legal advice, medical advice, psychological advice, special education legal representation, or compliance certification.

Section 14

Limitation of liability

To the fullest extent permitted by law, TeachSmartHQ™ and its operators, contractors, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, lost instructional time, or reputational harm — arising from your use of or inability to use the service, even if advised of the possibility of those damages.

Our total cumulative liability to you for any claim arising out of or relating to these Terms or the service is limited to the greater of:

  • the amount you paid TeachSmartHQ™ in the twelve months immediately preceding the claim, or
  • one hundred U.S. dollars ($100)

Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

Section 15

Indemnification

You agree to defend, indemnify, and hold harmless TeachSmartHQ™ and its operators, contractors, and affiliates from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your use of the service in a way that violates these Terms or applicable law
  • your entry of student PII into generator inputs or saved content in violation of Section 07
  • content you upload or save that infringes third-party intellectual-property or privacy rights
  • your violation of school or district policies while using the service
Section 16

Governing law & dispute resolution

These Terms are governed by and interpreted under the laws of the State of Georgia, United States of America, without regard to conflict-of-laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the service will be brought exclusively in the state or federal courts located in the State of Georgia, and you consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from seeking injunctive relief in an appropriate court to protect intellectual property or confidential information.

Section 17

Changes to these Terms

We may update these Terms from time to time as the service evolves, vendors change, or laws require.

When we do, we will post the updated Terms on this page and update the “Last Updated” date at the top. For material changes that significantly affect your rights or obligations, we will also provide notice to account holders at least 30 days before the change takes effect.

Continued use of the service after the effective date constitutes acceptance of the updated Terms.
